Orchedule™ Academic Scheduling Platform

Welcome to Orchedule™. These Terms of Service ("Terms") govern your access to and use of our academic scheduling platform. By subscribing to or using Orchedule™, you agree to be bound by these Terms.

1. Service Description

Orchedule™ is a multi-tenant academic scheduling platform that provides institutions with:

  • Web-based scheduling and timetable management
  • Dedicated subdomain for each institution (e.g., yourinstitution.orchedule.com)
  • User accounts for faculty, staff, and administrators
  • Department and college-level scheduling tools
  • Data storage and management services

2. Account Registration and Access

2.1 Institution Account

When you subscribe to Orchedule™, you create an institution account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your institution's account credentials
  • All activities that occur under your institution's subdomain
  • Promptly notifying us of any unauthorized access or security breaches

2.2 User Accounts

Your institution may create user accounts for faculty, staff, and administrators. You are responsible for:

  • Managing user access and permissions
  • Ensuring users comply with these Terms
  • Deactivating accounts for users who no longer require access

3. Subscription and Payment

3.1 Subscription Plans

Orchedule™ offers simple, transparent flat-rate subscription pricing across two categories:

Higher Education (Colleges & Universities)

  • Basic Users (faculty & staff): $85 per user/year
  • Institution Registrar (top-level access): $400 per user/year
  • Full feature access, unlimited departments, any institution size
  • Enterprise System plans available for multi-campus systems or consortia — contact sales for custom pricing

K-12 Schools (Primary & Secondary)

  • Program Users (teachers & staff): $40 per user/year
  • Administrators (school-level access): $200 per user/year
  • Full feature access, unlimited students & sections
  • School District plans available for multi-campus solutions — contact sales for custom pricing

All prices are in United States Dollars (USD). All subscription plans include complete scheduling features, comprehensive onboarding, implementation setup, assisted data import, and training at no extra cost. Plans are billed annually with Net 30 payment terms.

3.2 Payment Terms

  • Subscriptions are billed annually in advance
  • Payment is due within 30 days of invoice date
  • Failure to pay may result in service suspension or termination
  • All fees are non-refundable except as required by law

3.3 Plan Changes

You may upgrade or downgrade your subscription plan at any time. Changes will take effect at the start of your next billing cycle.

4. Data and Privacy

4.1 Your Data

You retain all rights to the data you input into Orchedule™, including:

  • Course schedules and timetables
  • Faculty and student information
  • Department and college data

4.2 Privacy Policy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

4.3 Data Security

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, secure authentication, and regular security audits. In the event of a data breach that affects your information, we will notify you within 72 hours of becoming aware of the breach.

4.4 Data Backup

While we perform regular backups, you are responsible for maintaining your own backup copies of critical data.

5. Acceptable Use

You agree NOT to:

  • Use the service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to other institutions' data
  • Interfere with or disrupt the service or servers
  • Upload viruses, malware, or malicious code
  • Reverse engineer or attempt to extract the source code
  • Resell, sublicense, or share your access to the service
  • Use the service to harass, abuse, or harm others

6. Multi-Tenant Environment

Orchedule™ operates as a multi-tenant system where multiple institutions share the same infrastructure. Each institution's data is isolated and accessible only through their unique subdomain. You agree to:

  • Access the service only through your assigned subdomain
  • Not attempt to access data from other institutions
  • Respect the shared nature of the infrastructure

7. Service Availability

7.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible.

7.2 Support

We provide technical support via email during business hours. Response times vary based on your subscription plan.

8. Intellectual Property

8.1 Our Rights

Orchedule™, including all software, designs, trademarks, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our platform.

8.2 Your Rights

You retain ownership of all content and data you upload to the platform.

9. Termination

9.1 By You

You may cancel your subscription at any time with 30 days written notice. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial periods.

9.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity

9.3 Data Export

Upon termination, you have 30 days to export your data. After this 30-day period, we will permanently delete all your data from our active systems.

10. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
  • WE ARE NOT RESPONSIBLE FOR DATA LOSS, SCHEDULING ERRORS, OR BUSINESS INTERRUPTION

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any rights of another party

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the reasonable control of a party, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, or other force majeure events.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through a prominent notice on the platform. Your continued use of the service after the effective date of the changes constitutes acceptance of the new Terms. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or relating to these Terms or your use of Orchedule™ shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia.

15. Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve any disputes arising out of or in connection with these Terms through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through the competent courts as specified in Section 14.

16. General Provisions

16.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any subscription agreements, constitute the entire agreement between you and Orchedule™ regarding the use of our platform, and supersede all prior agreements, understandings, and communications, whether written or oral.

16.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.

16.4 Waiver

The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future.
