Welcome to Orchedule™. These Terms of Service ("Terms") govern your access to and use of our academic scheduling platform. By subscribing to or using Orchedule™, you agree to be bound by these Terms.

Orchedule™ offers simple, transparent flat-rate subscription pricing across two categories:
All prices are in United States Dollars (USD). All subscription plans include complete scheduling features, comprehensive onboarding, implementation setup, assisted data import, and training at no extra cost. Plans are billed annually with Net 30 payment terms.
You may upgrade or downgrade your subscription plan at any time. Changes will take effect at the start of your next billing cycle.
You retain all rights to the data you input into Orchedule™, including:
Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, secure authentication, and regular security audits. In the event of a data breach that affects your information, we will notify you within 72 hours of becoming aware of the breach.
While we perform regular backups, you are responsible for maintaining your own backup copies of critical data.

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible.
We provide technical support via email during business hours. Response times vary based on your subscription plan.
Orchedule™, including all software, designs, trademarks, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our platform.
You retain ownership of all content and data you upload to the platform.
You may cancel your subscription at any time with 30 days written notice. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial periods.
We may suspend or terminate your account if you:
Upon termination, you have 30 days to export your data. After this 30-day period, we will permanently delete all your data from our active systems.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the reasonable control of a party, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, or other force majeure events.
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through a prominent notice on the platform. Your continued use of the service after the effective date of the changes constitutes acceptance of the new Terms. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or relating to these Terms or your use of Orchedule™ shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia.
Before initiating any legal proceedings, both parties agree to attempt to resolve any disputes arising out of or in connection with these Terms through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through the competent courts as specified in Section 14.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with the Privacy Policy and any subscription agreements, constitute the entire agreement between you and Orchedule™ regarding the use of our platform, and supersede all prior agreements, understandings, and communications, whether written or oral.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future.
